Need help dianosing pci errors (intell N440BX server board)

My comp wont even let me into the bios options. It freezes before entering, and beeps twice (at the bottom it wants me to hit F1 to Resume and F2 to enter setup but whatever i touch it wont do anything). With a message Resource Conflict - PCI Serial bus Controller Bus: 00, Device: 0B, Function: 00

and If i push the NMI button I get PCI Parity error on Bus/Device/Function 0058H

What does this mean and how can i fix it

remove all add-in cards and reset the cmos per the manual. This board can be a pig to setup sometimes and one thing, use ONLY the memory Intel lists as compatible for this board.
