MSI/AMI Kinda dead

Turned the unit on and it stopped during post at 38, usualy goes to 100 and then it checks memory. re booted til I was blue in the face. Opened it up checked all sockets, Memory cpu's everything, re-booted and again stopped at 38. AARGH! went into my old archive and found the AMIBOOT disk from 3 years ago that I used to upgrade. shut down, did the old CTL+HOME upon start up and inserted disk. Unit read disk, gave me 4 beeps as I remember was the OK sign. Re-Booted and again, stopped at 38. I'm at a loss. What the heck happened and what is wrong?
Any help would be greatly apreciated.

Initialize different buses and perform the following functions: Boot Input Device Initialization (function 3); IPL Device Initialization (function 4); General Device Initialization (function 5). Function 3 searches for and configures PCI input devices and detects if system has standard keyboard controller. Function 4 searches for and configures all PnP and PCI boot devices. Function 5 configures all onboard peripherals that are set to an automatic configuration and configures all remaining PnP and PCI devices.
IMHO this means you want to go back to a barebone setup and add components one at a time to see which one has died. There's a nice how-to posting here:
