Are you sure that the new processor works at the same voltage of the older one?
Try to find if the motherboard support the new processor: read the manual or find it on internet.
May be also a jumper settings problem.

Connect the SATA cable between the HDD and motherboard, then turn on the pc, then select install 3rd party drive. Under WinXP Pro you need a floppy disk with HDD drivers downloadable from the HDD manufacters, typically in 1.44 format.

I don't now what happen with HDD capacity is over 64GB, but I'm sure that FDISK in Win98SE let you to create a 100% partition also if the HDD capacity in BIOS is less.
You need only to set correctly HDD parameters or set to AUTO.

Another thing that you could do is: look if it's possible to add memory IC's on the board: more boards have free memory chip sockets that you can fill with the appropriate chip so you can extend the total of video memory. In this case I think it's possible use a refresh rate higher than 43hz at 1024...

I went to Uniflash's web page, but under "Supported Hardware" I can't find neither my chipset nor my motherboard.
