I have a dead board on my hands. I have downloaded the manaul set all the jumpers, checked the processor chip/RAM/speaker and the video card. I have set the jumpers accordring to the mnanual to disable the onboard video ( or I believe these jumpers are set right. ) I have tried a known good video card. Fans do come on. No drives attatched.
Any thoughts??

Try ISA VGA card. You may try to hot-flash the BIOS in another board (http://rainbow.ht.st/hardware/hotflash.html)

Just a thought - if you plug a speaker in, do you get any beeps ?

I have tried an ISA and a PCI video card with a speaker hooked up properly still no go.

Well, I think you could have a dead board. I've got one like that; an oscilloscope shows that the CPU starts to run but, I guess one of the critical chips on-board is dead because it doesn't get any further. Are you sure that the BIOS ROM is OK ? I have revived two dead boards that were dead because someone mis-flashed them, so it could be worth hot-swapping (also known as hot-flashing) - see http://www.wimsbios.com FAQ #9 or http://www.wimsbios.com/phpBB2/viewtopi ... c&start=30 or Rainbow's link earlier in this post.

When I asked if it beeps, what I should have said was "does it beep if you remove the RAM", that being one of the first things it checks. If it doesn't it's failing at a fairly basic level. You could try buying or building a Power-OnSelf Test (POST) display board but that seems like a lot of money or time for a board that's probably deceased.

Well after an extended period of time I decided to pull this board back out of the corner.

Symptoms at this point
NO beeps what so ever (with or without RAM)
the Power LED is blinking when power is applied (which means the motherboard is in sleep mode.)

Things I have tried (to resolve the problem)
replaced the power supply
replced the battery
remounted the board
double and triple checked the speaker for proper connection

So does this mean I do indeed have a dead board?

It sounds as though your last faint hope is to re-flash the BIOS using hot-swap, but I wouldn't put any faith in it.
